AI Phone is operated by Prime Axiom AI LLC, a Florida limited liability company. The Company may also be referred to in these Terms as “Prime Axiom,” “AI Phone,” “Company,” “we,” “us,” or “our.”

3.Description of the Services
The Services may include:
- Business telephone and cloud communications features;
- Inbound and outbound calling;
- SMS, MMS, email, and other messaging features;
- AI-powered voice and messaging agents;
- Call routing, scheduling, lead qualification, and customer-support automation;
- Call recordings, transcripts, summaries, scoring, and conversation intelligence;
- Workflow automation and CRM integrations;
- APIs, dashboards, reporting, and administrative tools;
- Phone-number provisioning, porting, and carrier services;
- Prepaid or metered Usage Credits or Tokens; and
- Additional features made available from time to time.
Specific features may depend on your subscription, order form, location, telephone-number type, third-party providers, regulatory approval, carrier registration, and available Credits.
We may add, modify, suspend, or discontinue features when reasonably necessary, including for security, legal, regulatory, technical, carrier, or operational reasons.
4.No Emergency Services
The Services are not a replacement for traditional telephone service and must not be relied upon to contact emergency services.
Unless we expressly state otherwise in writing, the Services do not support 911, E911, emergency dispatch, or other emergency communications. You must maintain an independent method of contacting emergency services.
5.Artificial Intelligence Features
Some Services use artificial intelligence to generate speech, text, recommendations, classifications, summaries, responses, workflows, or other output.
AI-generated output may be incomplete, inaccurate, outdated, misleading, offensive, or unsuitable for your intended purpose. You are responsible for reviewing and approving AI-generated output before relying on it or communicating it to another person.
The Services do not provide legal, medical, financial, tax, employment, insurance, or other regulated professional advice.
You are solely responsible for:
- Determining whether AI-generated output is appropriate;
- Providing meaningful human oversight;
- Testing scripts, prompts, workflows, and automated actions;
- Reviewing decisions that may materially affect another person;
- Preventing discriminatory, deceptive, unsafe, or unlawful use; and
- Complying with laws applicable to automated decision-making and artificial intelligence.
You may not represent that an AI-generated communication is from a human when disclosure is required by law or when doing so would be deceptive.
6.Accounts and Security
You must provide accurate, current, and complete account information.
You are responsible for:
- Maintaining the confidentiality of passwords, API keys, authentication credentials, and access tokens;
- Controlling users and permissions within your account;
- All actions taken through your account;
- Promptly removing access for former employees and contractors; and
- Notifying us immediately of suspected unauthorized access.
You may not share individual login credentials between unrelated users or allow another person to impersonate an authorized user.
We may require identity, business, telephone-number, email, payment, carrier, or regulatory verification before activating certain features.
7.Customer Content and Data
“Customer Content” means information, files, contacts, recordings, transcripts, messages, emails, prompts, instructions, scripts, documents, CRM records, call metadata, personal information, and other materials submitted to or processed through the Services by you or on your behalf.
As between you and Prime Axiom, you retain your ownership rights in Customer Content.
You grant Prime Axiom and its service providers a limited, worldwide license to host, copy, transmit, process, modify, format, display, and otherwise use Customer Content only as reasonably necessary to:
- Provide and operate the Services;
- Complete requested communications and workflows;
- Maintain security and prevent abuse;
- Provide customer support;
- Comply with law;
- Enforce these Terms; and
- Improve the Services using aggregated or deidentified information.
You represent and warrant that you have all rights, notices, permissions, consents, and lawful bases necessary for Prime Axiom and its providers to process Customer Content as contemplated by these Terms.
You must not upload or process information that you are prohibited from possessing, using, disclosing, or transmitting.
8.Your Communications-Compliance Responsibilities
You are solely responsible for the legality of every call, text message, email, recording, campaign, contact list, script, and communication initiated through your account.
Before contacting any person, you must obtain and maintain all legally required permissions and consents.
Depending on your use case and location, this may include compliance with:
- The Telephone Consumer Protection Act;
- Federal Communications Commission rules;
- Federal Trade Commission rules;
- The Telemarketing Sales Rule;
- The CAN-SPAM Act;
- National, state, and company-specific Do Not Call requirements;
- State telemarketing, privacy, biometric, and call-recording laws;
- Applicable international communications and privacy laws;
- CTIA and carrier requirements;
- Twilio or other communications-provider policies; and
- Any industry-specific requirements applicable to you.
Without limiting these obligations, you agree that you will:
- Obtain prior express consent or prior express written consent whenever required.
- Clearly identify yourself or your business as the sender or caller.
- Explain the types and subject matter of communications a person will receive.
- Keep reliable evidence of consent, including the date, time, method, source, and wording presented.
- Honor opt-out and revocation requests promptly.
- Maintain suppression and Do Not Contact lists.
- Not use purchased, rented, scraped, harvested, transferred, or improperly obtained contact lists.
- Not conceal caller identity or use misleading caller identification.
- Not contact a reassigned or incorrect telephone number after learning that consent is no longer valid.
- Provide required disclosures before recording or monitoring a call.
- Obtain consent for artificial, prerecorded, or AI-generated voice calls where required.
- Send communications only during legally permitted hours.
- Include required postal addresses and unsubscribe mechanisms in commercial emails.
- Ensure your customers and downstream users satisfy the same requirements.
An inbound inquiry or message may allow you to respond to that particular inquiry, but it does not automatically authorize unrelated or ongoing promotional communications.
You must immediately stop contacting a recipient after consent is revoked, except for a legally permitted confirmation of the opt-out.
9.Call Recording and Monitoring
The Services may allow calls or other communications to be recorded, monitored, transcribed, analyzed, or summarized.
Call-recording and wiretap laws vary by jurisdiction. Some locations require consent from every participant.
You are solely responsible for:
- Determining which laws apply;
- Providing audible or written disclosures;
- Obtaining all required consents;
- Configuring recording controls appropriately;
- Restricting access to recordings and transcripts; and
- Establishing appropriate retention and deletion periods.
Prime Axiom does not determine whether a particular call may lawfully be recorded.
10.Communications from Prime Axiom
When you provide contact information, we may contact you to:
- Respond to your inquiry;
- Schedule or conduct a requested demonstration;
- Verify your account;
- Provide security codes;
- Deliver account or billing notices;
- Provide support;
- Communicate service changes; or
- Complete a transaction you requested.
We will send marketing text messages or make promotional calls using automated, prerecorded, artificial, or AI-generated technology only where we have the consent required by applicable law.
Your consent to receive marketing calls or text messages is not a condition of purchasing the Services.
You may revoke marketing consent at any time using the methods described in the applicable message or by contacting us.
11.AI Phone Text Messaging Program
By expressly opting into the AI Phone text messaging program, including by affirmatively selecting an SMS consent checkbox where presented, you authorize Prime Axiom AI LLC to send SMS or MMS messages to the telephone number you provided for that program.
Messages may include:
- Demo and appointment confirmations;
- Requested follow-up communications;
- Account and security notices;
- Customer-support messages;
- Service and billing updates;
- Product announcements; and
- Marketing or promotional messages where separately authorized.
The following conditions apply:
- Message frequency varies.
- Message and data rates may apply.
- Consent is not a condition of purchase.
- Reply STOP to unsubscribe.
- Reply HELP for assistance.
- You may also obtain assistance at [email protected] or +1 (888) 388-4804.
- Carriers are not liable for delayed or undelivered messages.
- Delivery is subject to carrier availability and is not guaranteed.
- Opt-out requests apply to the applicable messaging program and telephone number.
- After opting out, you may receive one final message confirming your request.
You must provide a telephone number that you own or are authorized to use. If your number changes or is reassigned, you must update your account promptly.
Mobile telephone information, text-message opt-in information, and consent records will not be sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes.
We may disclose this information to telecommunications carriers, messaging providers, aggregators, hosting providers, and other vendors only as necessary to operate the messaging program, deliver messages, prevent fraud, maintain consent records, or comply with law.

12.Email Communications
You may receive transactional or relationship emails concerning your account, purchases, security, support requests, or use of the Services.
Where you have subscribed to marketing emails, you may unsubscribe using the link contained in the email or by contacting us.
Unsubscribing from marketing emails will not prevent us from sending necessary transactional, security, legal, billing, or service-related communications.
13.Subscriptions and Renewals
Paid subscriptions may be offered monthly, annually, or for another stated term.
Unless your order form states otherwise, subscriptions automatically renew for successive periods equal to the original subscription period until canceled.
You authorize us and our payment processor to charge the payment method on file for:
- Subscription fees;
- Usage charges;
- Purchased Credits;
- Automatic Credit reloads;
- Telephone-number charges;
- Carrier, registration, and regulatory charges;
- Taxes; and
- Other charges disclosed before purchase.
You must cancel before the renewal date to avoid the next renewal charge. Cancellation stops future renewals but does not produce a refund or credit for the current billing period.
14.Usage Credits and Tokens
Certain features may require prepaid or metered units referred to as “Credits,” “Usage Credits,” or “Tokens.”
Unless expressly stated otherwise:
- Credits are contractual rights to consume designated Services.
- Credits are not money, legal tender, deposits, stored value, securities, cryptocurrency, or financial instruments.
- Credits have no cash value.
- Credits cannot be transferred, resold, exchanged, withdrawn, or redeemed for money.
Usage calculations may be based on seconds, minutes, messages, telephone numbers, model usage, compute, storage, network activity, workflows, or other metered events.
A communication may consume Credits even when the recipient does not answer, a carrier delays delivery, an AI interaction is unsuccessful, or a workflow does not create the desired business result.
Usage logs maintained by our systems will control absent a clear billing error.
Taxes, carrier surcharges, registration costs, network fees, blockchain fees, gas fees, model-provider charges, and other third-party costs may be included in or charged separately from Credit usage.
Credits may be consumed or reserved when a request is initiated. You are responsible for monitoring your balance and usage.
Credits may expire when stated on the applicable pricing page, checkout screen, order form, promotional offer, or account notice. Unless prohibited by law, unused Credits may also be forfeited when your account is terminated for breach or remains inactive beyond a disclosed expiration period.
We may adjust the amount of Services represented by a Credit prospectively based on carrier, infrastructure, model, network, gas, or third-party cost changes.
15.No-Refund Policy
Except where a refund is required by applicable law, all purchases and payments are final and non-refundable.
This policy includes:
- Subscription charges;
- Renewal charges;
- Usage charges;
- Purchased Credits or Tokens;
- Used and unused Credits;
- Automatic Credit reloads;
- Telephone-number and porting fees;
- Carrier registration fees;
- Regulatory fees;
- Model and compute costs;
- Blockchain, network, or gas fees;
- Setup, implementation, onboarding, and professional-service fees; and
- Charges incurred through your account.
We do not provide refunds or prorated credits for:
- Partial billing periods;
- Unused time;
- Unused Credits;
- Failure to cancel before renewal;
- Customer configuration errors;
- Incorrect contact lists;
- Unanswered or unsuccessful calls;
- Undelivered or filtered messages;
- Carrier restrictions;
- AI-generated errors;
- Suspended accounts;
- Third-party outages; or
- A customer’s failure to obtain required consent or regulatory approval.
The no-refund policy reflects that Prime Axiom may incur non-recoverable carrier, telecommunications, computing, artificial-intelligence, infrastructure, blockchain, network, gas, payment-processing, and regulatory costs when Credits are acquired, allocated, reserved, or consumed.
We may, in our discretion, investigate a timely claim involving a demonstrable duplicate charge, unauthorized transaction, or clear mathematical billing error. Any correction is not a waiver of this policy.
16.Taxes and Payment Disputes
Fees do not include taxes unless expressly stated.
You are responsible for applicable sales, use, telecommunications, excise, value-added, withholding, and similar taxes, excluding taxes based on Prime Axiom’s net income.
You must notify us of a billing dispute promptly and before initiating a chargeback when reasonably possible.
An improper or fraudulent chargeback may result in suspension, termination, collection activity, recovery of chargeback fees, and refusal of future service.
17.Acceptable Use
You may not use the Services to:
- Violate any law, regulation, court order, carrier rule, or third-party right;
- Send spam, unwanted bulk messages, or communications without proper consent;
- Harass, threaten, stalk, abuse, discriminate against, or intimidate anyone;
- Engage in fraud, impersonation, phishing, spoofing, or deceptive conduct;
- Facilitate illegal gambling, unlawful financial activity, trafficking, exploitation, or other criminal conduct;
- Transmit malware, malicious code, or harmful files;
- Conduct security testing against another person without authorization;
- Evade carrier filters, rate limits, registration rules, or abuse-detection systems;
- Spread substantially similar messages across numbers to avoid filtering;
- Use misleading or nonstandard opt-out language;
- Interfere with or disrupt the Services;
- Reverse engineer, copy, scrape, or attempt to extract source code or models except where prohibited by law;
- Use the Services to create a competing platform based substantially on our confidential technology;
- Use another person’s identity, voice, likeness, or personal information without authorization;
- Create deceptive voice clones or impersonations;
- Make unlawful employment, housing, credit, insurance, healthcare, or other high-impact decisions; or
- Use the Services in a manner that creates unreasonable risk to individuals, carriers, providers, or Prime Axiom.
We may investigate suspected violations and suspend affected communications immediately.
18.Third-Party Services
The Services may rely on or integrate with third parties, including:
- Telecommunications carriers;
- Twilio and other communications providers;
- Email providers;
- Hosting and cloud-computing providers;
- Payment processors;
- Artificial-intelligence and model providers;
- Analytics and security vendors;
- CRM, scheduling, and productivity platforms; and
- Blockchain or network providers where applicable.
Third-party services may be governed by separate terms and privacy policies.
We do not control third-party networks and are not responsible for carrier filtering, number reassignment, porting delays, provider outages, model changes, integration changes, API limitations, third-party fees, or discontinuation of third-party services.
19.Intellectual Property
The Services, including software, designs, interfaces, workflows, documentation, templates, trademarks, models, and technology, are owned by Prime Axiom or its licensors and are protected by intellectual-property laws.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your subscription for your internal business purposes.
No ownership rights are transferred to you.
You may not use the names “Prime Axiom,” “AI Phone,” or our logos without prior written authorization.
20.Feedback
If you submit ideas, recommendations, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you without permission.
21.Privacy and Security
Our collection and use of personal information are described in our Privacy Policy at https://voice.primeaxiom.ai/privacy.
You acknowledge that no online, telecommunications, or artificial-intelligence service can be guaranteed to be completely secure or continuously available.
You are responsible for determining whether the Services are appropriate for the sensitivity and regulatory status of your data.
You may not use the Services for protected health information, payment-card data, government identification data, or other specially regulated information unless Prime Axiom has expressly agreed in writing and the necessary contractual and technical safeguards have been implemented.
22.Suspension and Termination
You may stop using the Services at any time and may cancel renewal through the available account controls or by contacting us.
We may suspend or terminate access if:
- You fail to pay an amount when due;
- You violate these Terms;
- Your use creates security, fraud, legal, regulatory, carrier, or reputational risk;
- A carrier or provider requires suspension;
- Your use threatens the Services or another customer;
- Required business or campaign registration is rejected or revoked;
- We reasonably believe communications are unwanted or unlawful; or
- We discontinue the applicable Service.
Suspension or termination does not relieve you of payment obligations incurred before termination.
Sections that by their nature should survive termination will survive, including payment obligations, intellectual-property provisions, disclaimers, limitations of liability, indemnification, dispute provisions, and the no-refund policy.
23.Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
PRIME AXIOM DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, QUIET ENJOYMENT, AND RESULTS.
WE DO NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- CALLS OR MESSAGES WILL BE CONNECTED, ANSWERED, OR DELIVERED;
- TELEPHONE NUMBERS WILL REMAIN AVAILABLE;
- AI OUTPUT WILL BE ACCURATE OR APPROPRIATE;
- THE SERVICES WILL PRODUCE LEADS, SALES, REVENUE, SAVINGS, OR OTHER RESULTS;
- CARRIERS WILL APPROVE A CAMPAIGN OR NUMBER;
- THIRD-PARTY SERVICES WILL REMAIN AVAILABLE; OR
- THE SERVICES WILL SATISFY YOUR PARTICULAR LEGAL OR REGULATORY REQUIREMENTS.
You are responsible for your own compliance review and business decisions.
24.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIME AXIOM AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CONTACTS, OPPORTUNITIES, OR USE.
THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A PARTY WAS ADVISED THAT DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIME AXIOM’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- The amount you paid to Prime Axiom for the Services during the six months before the event giving rise to the claim; or
- One hundred U.S. dollars.
Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.
25.Indemnification
You will defend, indemnify, and hold harmless Prime Axiom and its members, managers, employees, contractors, licensors, carriers, and providers from claims, investigations, demands, damages, penalties, fines, settlements, judgments, liabilities, and reasonable legal fees arising from:
- Your use of the Services;
- Customer Content;
- Your calls, messages, recordings, campaigns, scripts, or contact lists;
- Your failure to obtain or document consent;
- Your violation of communications, privacy, recording, marketing, or consumer-protection laws;
- Your violation of these Terms;
- Your infringement of another person’s rights; or
- Use of the Services by anyone accessing your account.
We may assume control of the defense of a matter subject to indemnification, and you will cooperate with that defense.
26.Dispute Resolution and Governing Law
Before filing a legal action, the complaining party must provide written notice describing the dispute and requested resolution. The parties will attempt in good faith to resolve the dispute for at least 30 days.
These Terms are governed by Florida law, without regard to conflict-of-law rules.
Subject to applicable small-claims jurisdiction, the state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction over disputes arising from these Terms or the Services.
To the maximum extent permitted by law, each party waives the right to a jury trial and agrees that claims must be brought individually and not as a plaintiff or class member in a class, consolidated, collective, or representative action.
Nothing in this section prevents either party from seeking temporary or emergency equitable relief to protect confidential information, security, or intellectual-property rights.
27.Changes to These Terms
We may update these Terms to reflect changes in the Services, law, providers, pricing structure, or business practices.
We will post the revised Terms and update the Effective Date. Where legally required, we will provide additional notice.
Your continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.
28.General Provisions
These Terms, applicable order forms, the Privacy Policy, and any incorporated policies constitute the complete agreement concerning the Services.
If an order form conflicts with these Terms, the order form controls only to the extent of the conflict.
You may not assign these Terms without our written consent. We may assign them in connection with a merger, financing, reorganization, sale of assets, or transfer of the Services.
Failure to enforce a provision is not a waiver.
If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.
Headings are for convenience only.
Electronic notices and signatures satisfy written-notice and signature requirements to the extent permitted by law.
